Terms of Use (ToU)
§ 1 Fundamental Provisions
1) The following terms and conditions apply to contracts concluded with Designtal – Philipp Hinke. Unless otherwise agreed, any conditions used by you are expressly rejected. 2) The services offered are exclusively aimed at entrepreneurs and businesses. An entrepreneur is any natural or legal person who acts in the conclusion of the legal transaction in pursuit of their professional or commercial interests.
§ 2 Formation of the Contract
The subject matter of the contract is the sale of services, specifically the creation of individual digital design files and other digital dental technical services. 2) By providing our service, we make a binding offer to our customers to conclude a purchase contract.
3)The customer places an order in which they capture all relevant data and information in an order (Designtal template) or create it themselves and transmit it to us along with the digital model data. By transmitting the required data, the customer enters into a legally binding purchase contract on the applicable terms and conditions. We reserve the right to reject orders and thus declare the purchase contract null and void.
§ 3 Subject Matter of the Service
he service offered here includes only a 3D design proposal, which is provided to the customer as an STL dataset for their further unrestricted use. 2) We do not manufacture physical dental prosthetics.3) The customer confirms that they are engaged in dental technology as a dental laboratory or dentist and are authorized to manufacture dental prosthetics. If they use our 3D design proposal for this purpose, they are fully responsible for its functionality.
§ 4 Reservation of Ownership and Right of Retention
1) A right of retention can only be exercised by the customer if they are not claims arising from the same contractual relationship. 2) The created dataset remains the property of the service provider until full payment of all contract claims.
§ 5 Provisions Regarding Liability
1) If essential contractual obligations are not fulfilled, the liability of the service provider for slight negligence is limited to the foreseeable, contract-typical damage. 2) In the case of a breach of insignificant duties arising from the contract, liability is excluded for slight negligent breaches of duty.
§ 6 Choice of Law
1) German law applies. The provisions of the UN Convention on Contracts for the International Sale of Goods (CISG) are expressly excluded.
§ 7 Dispute Resolution
1) The European Commission provides a platform for out-of-court online dispute resolution (ODR platform), which can be accessed at http://ec.europa.eu/odr. We are neither obligated nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
§ 8 Language of the Contract

§ 9 Prices and Payment Terms Characteristics of the Goods
1) The prices shown are net prices, and VAT is separately indicated. 2) Shipping costs are not shown as the design files are transmitted exclusively in digital form.
3) The customer will receive an invoice for the services provided. Unless otherwise specified, payment claims from the contract are due for immediate payment.

§ 10 Delivery Conditions
1) Delivery is typically made within 48 hours after receipt of the order. 2) The design data will be promptly transmitted to the customer in digital form upon completion.
